Terms and Conditions
1. Acceptance and Entire Agreement These Terms & Conditions govern all products and services provided by ZL Mangement, Inc, DBA Zuma Bollards. Any quotation, confirmation of sale, or invoice, along with these Terms, constitute the entire agreement between Zuma Bollards and the Buyer, superseding all prior agreements. These Terms prevail over any of Buyer's general terms and conditions. Fulfillment of Buyer's order does not constitute acceptance of Buyer's terms. Any different or additional terms provided by Buyer are rejected.
2. Delivery and Title Delivery dates are estimates and not guaranteed. Zuma Bollards will use reasonable efforts to meet delivery schedules and may make partial shipments. Title to products passes to Buyer upon delivery to the carrier. Zuma Bollards is not liable for delays caused by factors beyond its control, including but not limited to strikes, weather, and transportation issues.
3. Inspection and Nonconforming Goods Buyer must inspect all shipments upon arrival. Notification of any Nonconforming Goods must be made within 10 days of receipt. Nonconforming Goods, as determined by Zuma Bollards, will be replaced or refunded at Zuma Bollards' discretion.
4. Prices and Taxes Prices are subject to change without notice and will be invoiced based on prices in effect at the time of shipment. All prices are exclusive of taxes, duties, and charges imposed by any governmental authority.
5. Payment Terms Payment for all orders is required on a Cash on Delivery (C.O.D.) basis unless the Buyer has an established account with Zuma Bollards. For buyers with an established account, payment terms are 30 days from the invoice date. Zuma Bollards reserves the right to charge interest on late payments. In cases where credit has not been established, Zuma Bollards may require advance payment or a security deposit.
6. Returns and Cancellation Returns require prior written approval from Zuma Bollards. Restocking fees and transportation charges may apply. Custom or special orders are non-cancelable and non-returnable once production has commenced.
7. Warranties Zuma Bollards warrants its products to be free from defects in material and workmanship under normal use for a period of 12 months from shipment. This warranty excludes damage due to misuse, negligence, or unauthorized alterations. No other warranties, express or implied, are provided.
8. Limitation of Liability Zuma Bollards' liability is limited to repair, replacement, or refund of the purchase price for defective products. Zuma Bollards is not liable for any indirect, special, or consequential damages.
9. Indemnity The Buyer agrees to indemnify Zuma Bollards against any claims arising from infringement of patents or copyrights, damages due to Buyer's actions, or environmental damage related to the use of the products.
10. Compliance with Laws Buyer is responsible for complying with all applicable laws, including export and import regulations.
11. Governing Law and Jurisdiction These Terms are governed by the laws of the jurisdiction where Zuma Bollards is located. Any disputes will be resolved in the courts of that jurisdiction.
12. Amendments and Modifications These Terms can only be amended in writing by authorized representatives of both parties.
13. Severability If any part of these Terms is found to be unenforceable, the remaining terms will continue in full effect.
14. Force Majeure Zuma Bollards is not liable for failure to perform its obligations due to circumstances beyond its reasonable control.
